Introduction

The following pages hold important information about our intention to transfer our general insurance business from the following companies;

• UK branch of Zurich Insurance Company,
• Zurich International (UK) Limited,
• Navigators & General Insurance Company Limited, and
• Zurich GSG Limited

to the UK branch of Zurich Insurance Ireland Limited (ZIIL) with effect from 1 January 2009.

This is a legal process which requires approval by the High Court of Justice in England and Wales and the Royal Court in Jersey. Consolidating our legal entities will provide us with a simplified structure enabling us to make better use of capital and resources and thus remain competitive to deliver value to shareholders and customers. Zurich also proposes to change the company name and registration status of ZIIL to Zurich Insurance plc (ZIP) with effect from 1 January 2009.
